1. Acceptance of Terms
By accessing or using DVMart at www.dvmart.shop, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please discontinue use immediately. These Terms form a legally binding agreement between you and Digital Vayapari, Gurugram, India.
2. Platform Description
DVMart is a B2B marketplace that enables businesses to:
- Discover and connect with verified suppliers and buyers.
- Post and respond to Requests for Quotation (RFQs).
- List and browse B2B products and services.
- Communicate through secure on-platform messaging.
Marketplace disclaimer: The platform acts as an online marketplace connecting buyers and sellers. We may not directly manufacture, sell, stock, or deliver products listed by third-party vendors unless specifically mentioned. DVMart facilitates connections but is not a party to any trade transaction between buyers and suppliers.
3. Account Registration
- You must be at least 18 years old and a representative of a legitimate business entity.
- You agree to provide accurate and truthful information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify DVMart immediately of any unauthorised use of your account.
- DVMart reserves the right to verify your identity and business information at any time.
4. Supplier / Vendor Obligations
- Suppliers must hold valid GST registration and legal authorisation to sell the listed products.
- All product listings must be accurate, not misleading, and comply with applicable laws.
- Suppliers must respond to buyer inquiries within a reasonable timeframe.
- Counterfeit, prohibited, or restricted products may not be listed.
- KYC documents provided must be genuine. Fraudulent documents will result in immediate account termination and may be reported to authorities.
5. Buyer Obligations
- Buyers must post genuine requirements only. Fake or spam RFQs are prohibited.
- Buyers must not misuse supplier contact information obtained through the platform.
- Buyers are responsible for independently verifying supplier credentials before completing transactions.
- DVMart is not liable for the quality of goods or services delivered by suppliers.
6. Enquiry and Quotation Rules
- RFQs and enquiries must represent genuine business requirements.
- Suppliers must provide accurate quotation details including price, MOQ, delivery timeline, payment terms, and validity wherever applicable.
- Buyers and sellers are responsible for final commercial negotiation, purchase orders, invoices, delivery terms, product inspection, and payment settlement.
- DVMart may moderate or remove misleading RFQs, spam enquiries, or quotation abuse.
7. Prohibited Conduct
You agree not to:
- Use DVMart for any illegal purpose or in violation of applicable laws.
- Post false, misleading, or defamatory content.
- Attempt to bypass security features or access other users' accounts.
- Harvest user data for unsolicited marketing.
- Circumvent DVMart to conduct off-platform transactions to avoid fees.
- Use automated bots or scrapers without written permission.
8. Membership Plans and Payments
- Subscription fees are billed in advance for each plan cycle (monthly or annual).
- All prices are in Indian Rupees (INR) and inclusive of applicable taxes.
- DVMart reserves the right to change plan pricing with 30 days' notice.
- Failure to pay may result in account suspension or downgrade to the Free plan.
9. Intellectual Property
All DVMart content — logo, design, text, and code — is owned by Digital Vayapari and protected by Indian IP laws. You may not copy, reproduce, or create derivative works without written permission.
By posting content (products, descriptions, images) on DVMart, you grant DVMart a non-exclusive licence to display that content on the platform.
10. Disclaimer and Limitation of Liability
DVMart is provided "as is" without warranty of any kind. To the maximum extent permitted by law, Digital Vayapari shall not be liable for:
- Disputes between buyers and suppliers.
- Quality, delivery, or legality of products/services transacted through the platform.
- Loss of business, revenue, or data resulting from use of the platform.
11. Indemnification
You agree to indemnify and hold Digital Vayapari harmless from any claims, damages, or losses arising from your use of DVMart, violation of these Terms, or infringement of third-party rights.
12. Account Suspension and Termination
DVMart may suspend or terminate any account at its sole discretion for violations of these Terms, fraudulent activity, or conduct harmful to the platform community, with or without prior notice.
13. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Gurugram, Haryana, India.
14. Changes to Terms
DVMart may modify these Terms at any time. Updated Terms will be posted with a revised date. Continued use after changes constitutes acceptance.
